Board of Directors
The Board of Directors is responsible for exercising the duties and powers entrusted to it in managing the Center’s affairs, achieving its objectives, approving its policies and general activities, enhancing investor confidence in the economic system, and supporting the efficient administration of justice. The Statute of the Entrustment and Liquidation Center (Infath) stipulates that the Board of Directors shall be chaired by the Minister of Justice and comprise a number of representatives from the public and private sectors.

Board committees
The Board Committees are considered one of the key enablers of the Center’s governance process, each within its respective area of responsibility.
Executive Committee
The Executive Committee is the administrative body responsible for overseeing the implementation of resolutions issued by the Board of Directors, reviewing periodic reports, evaluating the performance of the Center’s activities, verifying the implementation of approved plans, and monitoring and receiving reports on projects and tasks assigned to the Center’s departments. The Committee also formulates strategies and policies and submits recommendations to the Board of Directors.
The Committee was established by a resolution of the Board of Directors and consists of the following members:

Audit Committee
The Audit Committee is responsible for reviewing the Center’s preliminary and annual financial statements before they are submitted to the Board of Directors, expressing its opinion and providing recommendations thereon to ensure the accuracy and validity of the reported results. The Committee also ensures the integrity, fairness, and transparency of the Center’s operations, reviews accounting estimates, internal control systems, financial controls and risk management systems, and verifies the work of the internal auditor.

Grievances and Complaints Committee
The Committee is responsible for considering matters related to grievances and complaints submitted by service providers and other relevant parties, in accordance with its jurisdiction as set forth in the Center’s Rules of Procedure.

Remuneration and Nomination Committee
The Remuneration Committee is responsible for all matters related to remuneration, including the mechanisms and policies governing the granting of compensation and annual remuneration to members of the Board of Directors and the Center’s employees. The Committee also approves any amendments or changes to the incentives and benefits system. In addition, its responsibilities include reviewing the strategy related to human resources management.
